Terms and conditions for using the Pyrana™ platform

PLEASE READ THESE TERMS OF SERVICE CAREFULLY. By signing up for, accessing, or using the Pyrana Agentic Solution Platform (the "Service"), you agree to be bound by these Terms of Service (the "Terms"). If you do not agree, you may not use the Service.

1. Service Overview

Pyrana Agentic Solution Platform ("Pyrana," "we," "us," or "our") is a cloud-based software-as-a-service that provides an agentic solution platform system. The Service allows users to deploy and manage agentic AI solutions that can autonomously plan and execute tasks on the user's behalf by integrating with various third-party applications and data sources. Examples of what the Service can do include: scheduling events, retrieving information from the web, generating reports, and performing multi-step workflows through connected accounts. The specific features and modules of the Service may be updated or enhanced from time to time. All use of the Service is subject to these Terms and applicable policies.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. By using the Service, you represent and warrant that you are eligible to do so and that you have the legal capacity to form a binding contract. If you are using the Service on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms, and "you" as used in these Terms shall refer to that entity. You may not use the Service if you have been suspended or removed by Pyrana, or are prohibited by law from using the Service.

3. Accounts and Registration

To access most features of the Service, you must create an account. When registering, you agree to provide true, accurate, and current information (such as name, email, and contact details) and to keep it updated. You are responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account.

Account Security: You must notify us immediately at support@zeroth.technology if you suspect any unauthorized access to or use of your account. Pyrana is not liable for any loss or damage arising from your failure to secure your account.

4. Fees and Payment

Certain features or usage of the Service may require payment of fees. If you sign up for a paid subscription or purchase any services, you agree to pay the applicable fees and taxes.

Subscription Plans: Fees, subscription tiers, and billing periods (e.g. monthly or annual) are described on our website or in an order process. By providing a payment method, you authorize Pyrana to charge the designated payment instrument for all fees incurred.

Auto-Renewal: If you purchase a subscription, it will automatically renew at the end of each billing cycle (e.g. on a monthly or annual basis) unless you cancel prior to the renewal date. We will bill the periodic subscription fee to the payment method you provide, until you cancel. You can cancel at any time via your account settings, effective at the end of the current billing period.

Refunds: All charges are non-refundable except as expressly stated in these Terms or required by law. Pyrana may, in its sole discretion, grant prorated refunds or credits for unused time in case of subscription cancellation or if required due to service changes (see Section 12).

5. License to Use the Service

Subject to your compliance with these Terms and payment of any applicable fees, Pyrana grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service, for your internal use only. This license allows you to use our web interface, APIs, and any authorized client software or applications we provide, solely in accordance with our documentation and instructions.

Restrictions: You may not (a) copy, modify, distribute, sell, or lease any part of the Service or included software; (b) reverse engineer or attempt to extract the source code of the Service or any software (except to the extent such restriction is prohibited by law); (c) remove or obscure any proprietary notices on the Service; or (d) use the Service to build a competing product or service. All rights not expressly granted to you are reserved by Pyrana and its licensors.

6. User Data and Privacy

Ownership: You retain all rights to data, content, and materials that you (or your authorized users) input, upload, or otherwise provide to the Service, including but not limited to text, files, documents, or other information ("User Content"). Pyrana does not claim ownership of your User Content.

License to Pyrana: You hereby grant Pyrana a worldwide, non-exclusive, royalty-free license to host, use, reproduce, and process your User Content only as necessary to provide the Service to you and to fulfill our obligations under these Terms. This means, for example, that we may temporarily store your information and transform or analyze it as needed to respond to your requests or to enable the Service's AI agents to perform tasks you initiate. We will not use your User Content for any purpose outside the scope of providing and improving the Service without your consent.

Privacy Policy: Pyrana's collection, use, and disclosure of personal information in connection with the Service is described in our Privacy Policy (available at our website), which is incorporated into these Terms by reference. By using the Service, you acknowledge that you have read and understand the Privacy Policy.

Data Security: We take the security of your data seriously and implement commercially reasonable technical and organizational measures to protect your User Content against unauthorized access or disclosure. However, you understand that no data transmission or storage system can be guaranteed 100% secure. You are responsible for maintaining appropriate backups of your data.

Usage Logging: You agree that Pyrana may monitor and log your interactions with the Service and the actions of any AI agents operating on your behalf, for the purposes of maintaining the Service, preventing abuse, improving performance, and enabling transparency into agent operations. For example, we may log the tasks an agent executes or the queries it makes, and we may present you with an activity log or history. These logs will be handled in accordance with our Privacy Policy and retained as needed to fulfill these purposes.

7. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms and the detailed Acceptable Use Policy listed on our website.

Prohibited Conduct: You will not, and will not permit any third party, to:

  • Use the Service in any manner that violates any applicable law or regulation, including privacy laws and export control laws.
  • Use the Service for any fraudulent or harmful purpose, or to engage in any offensive, harassing, or inappropriate behavior (such as stalking, bullying, or posting illegal or defamatory content).
  • Input or provide any User Content to the Service that infringes or misappropriates any third party's intellectual property or other rights, or that you do not have the right to use and submit.
  • Attempt to probe, scan, or test the vulnerability of the Service or any related system or network, or breach any security or authentication measures.
  • Interfere with or disrupt the Service or servers or networks connected to the Service (for example, by transmitting malware, viruses, or any code of a destructive nature).
  • Use any automated system (such as scripts, bots, or web crawlers) to access the Service in a manner that sends more requests to the Service than a human can reasonably produce in the same period (except that operators of public search engines may use spiders for creating publicly available search indices, subject to our robots.txt).
  • Bypass or ignore any instructions contained in our robots.txt file or other limitations on access to the Service.
  • Share, transfer, or resell the Service or access to it to any third party (except as permitted for enterprise accounts under separate agreement), or attempt to derive the source code or underlying ideas or algorithms of any part of the Service (except as allowed by law).

Misuse of the Agentic AI Features: Instruct or use Pyrana's AI agents to engage in any of the prohibited conduct above, or to commit actions that would violate these Terms or applicable law if done directly by you. You are responsible for the actions taken by the AI agents operating under your account, as if they were your own actions. For example, you must not use an agent to scrape data from a third-party site in violation of that site's terms of service, or to send spam or unauthorized messages. Keep in mind that many websites and services prohibit automated access and have measures to block bots. It is your responsibility to ensure that your use of Pyrana's automation features respects any such third-party policies.

Violation of the above Acceptable Use Policy may result in immediate suspension or termination of your account (see Section 12) and may subject you to legal consequences. Pyrana reserves the right to investigate any misuse of the Service.

8. Third-Party Services and Integrations

External Accounts: The Service may offer integrations or connectors that allow your Pyrana AI agentic solutions to access or interact with third-party applications, websites, or services (for example, email providers, calendars, or other web services) when performing tasks on your behalf. If you choose to connect a third-party account or enable such integration, you authorize Pyrana to interface with the third-party service and access your data on that service as necessary to operate the integration.

Compliance with Third-Party Terms: You are responsible for ensuring that your use of the Service to access or use any third-party services is permitted under the terms of use or license of those services. Pyrana is not a party to your agreements with any third-party service providers, and we do not guarantee the availability or functionality of integrations which depend on third-party APIs or systems. If a third-party provider restricts or modifies the functionality of its services or APIs, Pyrana may not be able to maintain integration, and we will not be liable for any loss of functionality.

Third-Party Content: The Service or communications you receive via the Service (such as agent-generated reports) may include links or references to third-party websites or content. Pyrana does not endorse or assume any responsibility for any such third-party content. If you access any third-party website or service, you do so at your own risk, and you understand that this Agreement and Pyrana's policies do not apply to your use of those external sites.

9. Agent Autonomy and User Responsibilities

(Transparency and Oversight) The Pyrana platform uses artificial intelligence models and multi-agent systems to carry out tasks with a degree of autonomy. This means once you provide a goal or permission, the system's agents may make independent decisions on how to achieve that goal (for example, deciding which subtasks to perform or which external resources to consult).

Transparency: Pyrana is designed with transparency features such as logging and optional notifications so that you can review what actions the agents are taking. You are encouraged to make use of these features – for instance, reviewing an agent's activity log – especially when the agents are performing critical or sensitive operations.

No Guaranteed Explainability: While we strive to make AI agent decision-making interpretable, you acknowledge that complex AI systems might not always provide a clear explanation for every action. Pyrana may provide tools (like summaries of an agent's reasoning steps) to improve explainability, but we do not guarantee that every decision or outcome will be fully explainable to you.

Human Oversight: You are solely responsible for supervising the results and actions of the AI agents operating under your account. The Service is not a substitute for your judgment. You should not rely on any output or action of the Service without independently verifying it, especially in scenarios where incorrect or inappropriate actions could lead to harm or liability. For example, if Pyrana drafts an email or executes a transaction on your behalf, you should review critical communications or transactions for accuracy and appropriateness before relying on them.

Acknowledgment of Risks: You understand that, despite safety protocols, an AI agent might produce incorrect information ("hallucinations"), or take an action that is unintended. By using the Service, you accept that using autonomous AI entails some risk of error. Pyrana will not be liable for any consequences that arise from the AI agent's autonomous activities that result from your instructions, except as expressly set forth in these Terms. If you observe any unexpected or undesirable agent behavior, you agree to promptly modify the agent's instructions or settings, or to deactivate the agent, and to notify Pyrana if necessary. We welcome feedback as part of our commitment to responsible AI use and continuous improvement.

10. Intellectual Property Rights

Pyrana's IP: As between you and Pyrana, Pyrana (and its suppliers, if applicable) own all right, title, and interest in and to the Service, including all software, code, algorithms, models, user interfaces, know-how, and documentation, and all content provided by Pyrana within the Service (collectively, "Pyrana Materials"). These are protected by intellectual property laws. Except for the limited license granted to you in Section 5, nothing in these Terms transfers any ownership of any Pyrana intellectual property to you. If you choose to provide any feedback or suggestions to Pyrana regarding the Service (e.g. ideas for improvements or new features), you grant us the right to use and incorporate such feedback without any obligation to you.

Your IP: Likewise, except for the license you grant us in Section 6 to operate the Service, we claim no ownership over your User Content or over the outputs that you obtain from the Service by using its AI features (e.g. an agent-generated report based on your data). You are free to use, modify, or distribute your own content and the results produced for you by the Service, provided that doing so does not violate any third-party rights or any of these Terms.

11. Term; Suspension and Termination

Term: These Terms are effective from the moment you first accept them or use the Service, and will remain in effect until terminated as provided herein.

Termination by You: You may stop using the Service at any time. You may also request deletion of your account at any time; doing so will terminate these Terms as to you (except for provisions that survive, as noted below).

Termination or Suspension by Pyrana: We may suspend your access to the Service or terminate these Terms (and your account) at any time with or without cause, by providing notice to you via email or through the Service. For example, we may terminate if you violate these Terms, if continued use creates risk of legal liability or harm, or if we cease offering the Service. In some cases, such as repeated violation of our Acceptable Use Policy or a serious misuse, we may suspend or terminate your account immediately without notice.

Effect of Termination: Upon any termination of these Terms: (a) all rights and licenses granted to you will end immediately, and you must cease all use of the Service; (b) your account will be disabled, and you may lose access to any information stored on the Service (we strongly recommend you export or save your data regularly); (c) you remain responsible for all fees and charges you incurred prior to termination; and (d) the following sections of these Terms will survive termination: Sections 6 (User Data… license to Pyrana) (to the extent we retain your data as permitted), 9 (Agent Autonomy…User Responsibilities), 10 (Intellectual Property), 11 (Termination – effect), 13 (Disclaimers), 14 (Limitation of Liability), 15 (Indemnity), 16 (Dispute Resolution), 17 (Governing Law) and 18 (Miscellaneous), as well as any other provisions that by their nature should survive.

Data Retention: Upon termination of your account, Pyrana will delete or de-identify your User Content stored on our servers, except we may retain copies to the extent required by law or lawful retention policies (for example, backup archives), or as otherwise outlined in our Privacy Policy. Where feasible, we will fulfill requests to return or destroy data, in accordance with our Privacy Policy.

12. Modifications to Service or Terms

Service Changes: Pyrana reserves the right to add, modify, or discontinue features or functionality of the Service at any time. We strive to improve the Service, but if any future change to the Service materially reduces its core functionality, we will provide notice to you (e.g. via email or in-product alert).

Terms Changes: We may revise these Terms from time to time. If we make material changes, we will notify you by posting the revised Terms on our website and/or through the Service, or via email to the address associated with your account, at least 15 days before the changes take effect (or longer if required by law). Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and may request termination of your account. In the event of a material change that you feel negatively impacts your rights, please contact us to discuss. (For clarity, fee changes will be handled as set forth in Section 4 and not by mid-term Terms amendments.)

13. Disclaimers (No Warranties)

"As Is" Service: The Service (including any AI models, algorithms, software, and Pyrana Materials) is provided "AS IS" and "AS AVAILABLE", with all faults and without warranty of any kind. To the maximum extent permitted under applicable law, Pyrana and its affiliates, suppliers, and partners disclaim all warranties, express or implied, including any implied warranties of title, non-infringement, merchantability, fitness for a particular purpose, accuracy, or arising from course of dealing or usage of trade.

No Guarantee of Results: Pyrana makes no warranty or guarantee that the Service will meet your requirements or expectations, or that it will achieve any intended results. Specifically, we do not guarantee the accuracy or reliability of any outputs or decisions made by the Service's AI agentic solutions. You acknowledge that AI-generated content may not always be correct, complete, or appropriate for your context, and you use such outputs at your own risk.

Availability and Security: We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected. While we strive to maintain high availability, we do not guarantee any specific uptime or that the Service will be free of harmful components.

Third-Party Components: Pyrana is not responsible for services and products provided by others, including third-party integrations or content, and makes no warranties regarding those.

No Professional Advice: Any information, answers, or output obtained through the Service (including via AI agent) is for general informational purposes only and is not intended as legal, financial, medical, or other professional advice. You are responsible for seeking professional advice on decisions where appropriate.

Some Jurisdictions do not allow the exclusion of certain warranties, so some of the above disclaimers may not apply to you to the extent disallowed by law.

14. Limitation of Liability

To the fullest extent permitted by law, in no event will Pyrana or its officers, directors, employees, agents, or suppliers be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, loss of data, or loss of business opportunity, arising out of or related to your use of or inability to use the Service, even if Pyrana has been advised of the possibility of such damages. This disclaimer applies to all causes of action, whether based in contract, tort (including negligence), strict liability, or any other legal theory.

Cap on Liability: To the fullest extent permitted by law, Pyrana's total cumulative liability to you for all claims arising out of or relating to these Terms or the use of the Service will not exceed the amount (if any) you have paid to Pyrana for the Service in the 12 months immediately preceding the events giving rise to the claim, or US $500, whichever is greater. If you have paid nothing (for example, using a free plan), Pyrana's maximum liability shall be $500.

Basis of the Bargain: You acknowledge that Pyrana has set its prices and entered into these Terms in reliance on the disclaimers and limitations of liability stated herein, which reflect an agreed allocation of risk between the parties and form an essential basis of the bargain.

Exceptions: Nothing in these Terms shall limit or exclude liability for gross negligence, willful misconduct, or fraud, or any other liability that cannot be excluded under applicable law (for example, certain statutory liabilities). Additionally, the above limitations may not apply to you in jurisdictions that do not allow the exclusion or limitation of incidental or consequential damages.

15. Indemnification

You agree to defend, indemnify, and hold harmless Pyrana and its affiliates, and their respective officers, directors, employees, and agents (the "Pyrana Parties"), from and against any and all third-party claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees and costs) that arise out of or relate to: (a) your use of the Service (including any actions performed by an AI agentic solution on your instruction); (b) your breach of any provision of these Terms or any applicable law; (c) your User Content, including any allegation that content you provided infringes or misappropriates the intellectual property or privacy rights of a third party; or (d) your use of the Service in combination with products, software, or services not supplied by Pyrana. Pyrana reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (in which case you agree to cooperate with our defense). You agree not to settle any such matter without Pyrana's prior written consent. This indemnification obligation will survive any termination of your account or of these Terms.

16. Dispute Resolution & Arbitration

Informal Resolution: In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Service, you and Pyrana agree to first attempt to resolve the issue informally by contacting the other party. Email for Pyrana: support@zeroth.technology. If a dispute is not resolved within 30 days of notice, it may be resolved as outlined below.

Arbitration Agreement: Except for the exclusions described below, you and Pyrana agree that all disputes and claims will be resolved by binding arbitration on an individual basis, not in court. This means you are waiving your right to a jury trial and to participate in any class action. The arbitration will be administered by American Arbitration Association under its Consumer Arbitration Rules, and judgment on the award may be entered in any court with jurisdiction.

Excluded Claims: Either party may choose to pursue a claim in court rather than arbitration if the claim is for injunctive or other equitable relief for alleged unlawful use of intellectual property (e.g., trademark, trade secret, copyright), or is an individual claim in small claims court, if it qualifies.

Opt-Out: You have the right to opt out of this arbitration agreement by sending written notice of your decision to opt out to support@zeroth.technology within 30 days of first accepting these Terms. If you do so, neither you nor Pyrana can require the other to participate in arbitration.

Arbitration Procedures: The arbitration will be conducted in English by a single neutral arbitrator. The place of arbitration will be Dover, Delaware, unless you and Pyrana agree otherwise or you elect a remote hearing. Either party can choose to have the arbitration conducted by telephone, video conference, or in-person.

Fees: Each party is responsible for their own attorneys' fees, but if arbitration costs (administrative fees or arbitrator's fees) exceed the costs of filing a lawsuit, Pyrana will pay the excess.

Severability: If a court decides that any part of this arbitration section is unenforceable or invalid, then the entirety of the arbitration provision shall be null and void, but the rest of the Terms will remain in effect.

17. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law principles. However, the Arbitration Agreement in Section 16 is governed by the Federal Arbitration Act. If a lawsuit or court proceeding is permitted under these Terms (in cases not subject to arbitration or where a court of competent jurisdiction finds the arbitration agreement unenforceable), you and Pyrana agree to submit to the personal and exclusive jurisdiction of the state or federal courts located in the State of Delaware for the purpose of litigating any such dispute.

18. Miscellaneous

Entire Agreement: These Terms (together with the Privacy Policy, Acceptable Use Policy, and any additional terms applicable to specific services or features that we may provide and that you accept) constitute the entire agreement between you and Pyrana regarding the Service, and supersede all prior agreements or understandings, whether written or oral, relating to its subject matter.

No Waiver: The failure of either party to enforce any right or provision of these Terms will not constitute a waiver of future enforcement of that right or provision.

Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the other provisions of these Terms will remain in full force and effect.

Assignment: You may not assign or transfer these Terms or your rights or obligations hereunder, by operation of law or otherwise, without our prior written consent. We may assign these Terms freely to an affiliate or in connection with a merger, acquisition, reorganization, or sale of assets, or by operation of law.

Relationship of Parties: You and Pyrana are independent contractors, and these Terms do not create any joint venture, partnership, employment, or agency relationship between us.

No Third-Party Beneficiaries: There are no third-party beneficiaries to these Terms; the agreement is between you and Pyrana only.

Notices: Pyrana may provide notices or communications to you through your account, via email, or through other reasonable means. You are responsible for keeping your contact information up to date.
